These Terms of Service ("Terms") govern your access to and use of the ClearHaul platform and website operated by ClearHaul LLC ("ClearHaul," "we," "us," or "our"). By accessing or using the platform, you agree to be bound by these Terms.
ClearHaul provides a software-as-a-service (SaaS) compliance screening platform for freight brokers. The platform enables brokers to perform multi-layer compliance checks on carriers and drivers, including verification against FMCSA authority records, OFAC Specially Designated Nationals lists, BIS entity lists, motor vehicle records (MVR), FMCSA Pre-Employment Screening Program (PSP) records, and driver credential documents. ClearHaul generates cryptographically sealed compliance certificates documenting each screening event.

The platform is intended for use by licensed freight brokers, 3PLs, and logistics companies operating under authority granted by the Federal Motor Carrier Safety Administration (FMCSA). By using ClearHaul, you represent that you hold or operate under valid broker authority and that you are authorized to enter into these Terms on behalf of your organization.
You agree to use ClearHaul only for lawful purposes and in accordance with these Terms. You may not:

You retain ownership of data you upload to the platform. You grant ClearHaul a limited license to process that data solely for the purpose of providing the screening services.
ClearHaul retrieves motor vehicle records (MVR) and FMCSA PSP records in connection with its screening services. To the extent these services constitute "consumer reports" under the Fair Credit Reporting Act (FCRA), you agree to comply with all applicable FCRA requirements, including providing required disclosures and obtaining required authorizations from the individuals being screened before initiating PSP or MVR checks.
Access to ClearHaul is provided on a subscription basis. Fees are charged as agreed during the sales process or account setup. Subscriptions renew automatically unless cancelled. Fees are non-refundable except as required by law or as expressly stated in your subscription agreement. We reserve the right to modify pricing with 30 days' notice to active subscribers.
We strive to maintain high availability of the platform but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance where possible. We are not liable for interruptions to third-party data sources including FMCSA, OFAC, BIS, or state DMV systems that affect our ability to perform screenings.
ClearHaul and its underlying technology, including screening algorithms, certificate generation, cryptographic sealing methodology, and platform design, are the intellectual property of ClearHaul LLC. These Terms do not grant you any rights in ClearHaul's intellectual property beyond the limited license to use the platform as described herein.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLEARHAUL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF CLEARHAUL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
CLEARHAUL'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE FEES PAID BY YOU TO CLEARHAUL IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless ClearHaul LLC and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of the platform, your violation of these Terms, or your violation of any applicable law or regulation.
Either party may terminate a subscription with 30 days' written notice. ClearHaul may suspend or terminate your access immediately for material violation of these Terms, non-payment, or conduct that poses a legal or security risk to the platform or other customers. Upon termination, your access to the platform will cease and your data will be retained per our data retention policy and then deleted.
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Randolph County, North Carolina.
We may update these Terms from time to time. We will notify active customers of material changes by email at least 30 days before the changes take effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.
